This agreement (the "Agreement") is entered into by Freelancer who uses GEOLOCATED NEWS' APP to capture photos, write contents and upload the events into GEOLOCATED NEWS platform, geolocatednews.com. In consideration of the mutual covenants made herein, the parties agree as follows:

APP: The APP from GEOLOCATED NEWS is free for Freelancers. Freelancer must accept a permission for the APP to use the freelancer's mobile phone's features such as camera and GPS.

Parties: Freelancer is engaged in the business of Capturing, Writing and Uploading nearby events/stories to GEOLOCATED NEWS on a freelance basis. GEOLOCATED NEWS is engaged in the business of marketing and selling the contents from Freelancer to third parties for publish.

Relationship: The parties expressly agree and acknowledge that the relationship created by this Agreement is one of Independent Contractor. GEOLOCATED NEWS is not the employer of Freelancer, and Freelancer is not, and will not be treated as, an employee of GEOLOCATED NEWS for federal tax purposes, or any other purposes.

Contract Period: This agreement will begin on the date set forth below and shall continue until terminated as provided by either party. If either party violates a term of this Agreement, then the other party (the "Non-breaching Party") may terminate this Agreement, effective immediately upon delivery of written notice of termination by the Non-breaching Party. Notwithstanding the foregoing, either party may terminate this Agreement at any time for any or no reason, effective upon thirty (30) days written notice.

Services to Be Provided by Freelancer: Freelancer agrees to submit, on his or her sole initiative, captured events/stories to the GEOLOCATED NEWS through the free APP provided by GEOLOCATED NEWS.

Representations and Warranties of Freelancer: By submitting a content to GEOLOCATED NEWS, Freelancer represents and warrants that the content is accurate and lawful, and that marketing and selling of the content by GEOLOCATED NEWS will not violate any copyright or government regulation.

Compensation: GEOLOCATED NEWS agrees to pay Freelancer 30 - 50% of the price per content/story sold by GEOLOCATED NEWS through geolocatednews.com website. Under no circumstances will Freelancer be paid monthly that is a function of time. Freelancer acknowledges and agrees that GEOLOCATED NEWS will only pay Freelancer for the content/story that are sold and GEOLOCATED NEWS has the sole and exclusive authority to determine whether or not to sell any and all contents/stories submitted by Freelancers.

Taxes: As an Independent Contractor, Freelancer shall be responsible for the reporting, deposit and payment of any and all federal, state, and local taxes, including but not limited to income taxes, FICA taxes, and unemployment taxes incidental to the performance of, or payment under this Agreement.

Assignment and Ownership of Intellectual Property: Freelancer hereby understands and agrees that all contents/stories including text and image/video submitted to, and sold by, GEOLOCATED NEWS under this Agreement. Freelancer hereby assigns to GEOLOCATED NEWS all rights to market/sell the content, and all previously submitted content of Freelancer, in any tangible medium of expression, now known or later developed, from which it can be perceived, reproduced, or otherwise communicated, either directly or with the aid of a machine or device, including without limitation the rights to archive, resell, edit, repackage or revise any content in any manner as GEOLOCATED NEWS sees fit. The rights conferred upon GEOLOCATED NEWS by this agreement shall be exclusive to GEOLOCATED NEWS immediately right after Freelancer agree this agreement. GEOLOCATED NEWS initially markets and sells the content.
